1Agreement & Acceptance of Terms

This Master User Agreement (“Agreement”) constitutes a legally binding contract between you (“User”, “you”, or “your”) and INFYFIN ADVISORS PRIVATE LIMITED (“Company”, “we”, “our”, or “us”).

By downloading, installing, browsing, or utilizing the InfyFIN mobile application or web portal (https://infyfin.com/), you unconditionally agree to be bound by all terms, conditions, and disclaimers herein. If you do not consent to this Agreement in its entirety, you must immediately cease accessing the services.

2Statutory Non-Advisory & AI Algorithmic Disclaimers

PLEASE READ THIS SECTION WITH UTMOST ATTENTION:

• Not a SEBI-Registered RIA: INFYFIN ADVISORS PRIVATE LIMITED is not registered with SEBI under the SEBI (Investment Advisers) Regulations, 2013. We do not provide personalized stock tips or trade executions.
• Not an RBI Banking / NBFC Entity: We are not a bank, depository, payment aggregator, or Non-Banking Financial Company regulated by the Reserve Bank of India. We do not solicit or accept public deposits.
• Algorithmic Educational Tools: All features powered by the InfyFIN AI Agent, OCR document parsers, cash flow forecasting curves, SIP calculators, and FIRE projections are purely deterministic or probabilistic mathematical calculations. They do not constitute formal certified financial planning, tax advice, or legal counsel.

3Offline-First Architecture & User Sole Data Custody

Because InfyFIN operates on a client-side offline sandbox, your accounts and transactions reside solely in your hardware device memory. You acknowledge that:

• You are solely responsible for maintaining frequent data backups via our JSON or Google Drive export features.
• INFYFIN ADVISORS PRIVATE LIMITED has no technical capacity to restore unbacked data lost due to device damage, theft, OS factory resets, or app uninstalls.
• You bear sole responsibility for safeguarding your device biometric lock and app master PIN.

4Permitted Use & License Grant

We grant you a revocable, non-exclusive, non-transferable, limited personal license to install and use InfyFIN solely for personal, non-commercial financial tracking. You agree not to reverse-engineer, decompile, extract source code, scrape public web calculators, or bypass licensing and rate-limiting gateways.

5Intellectual Property Rights

The InfyFIN name, brand logo, software design systems, on-device parsing algorithms, financial course curricula, and web UI components are the exclusive intellectual property of INFYFIN ADVISORS PRIVATE LIMITED and protected under the Copyright Act, 1957, Trade Marks Act, 1999, and applicable international intellectual property treaties.

6Limitation of Liability & Disclaimer of Warranties

InfyFIN is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind. To the maximum extent permitted by Indian law, INFYFIN ADVISORS PRIVATE LIMITED, its directors, employees, and affiliates shall NOT be liable for any direct, indirect, incidental, punitive, or consequential damages resulting from investment market losses, calculation inaccuracies, data loss, or reliance on informational projections.

7User Indemnification

You agree to indemnify, defend, and hold harmless INFYFIN ADVISORS PRIVATE LIMITED, its officers, directors, and agents from any claims, liabilities, damages, or expenses arising out of your violation of this Agreement, unauthorized use of financial products, or breach of applicable Indian laws.

8Financial Products Referral & Intermediary Model

In offering referral connections for loans, credit cards, mutual funds, and insurance policies:

• The Company acts strictly as an agent, sub-agent, corporate distributor, or referral intermediary for licensed principal entities (Banks, NBFCs, AMCs, IRDAI-registered insurers).
• Underwriting decisions, loan sanctions, interest rates, and policy approvals remain under the sole discretionary authority of the respective partner institutions.
• The Company receives referral fees or standard agency commissions permitted under regulatory circulars of the RBI, IRDAI, and SEBI.

9Affiliated Chartered Accountants (CA) Professional Framework

Professional compliance services — including Income Tax Return (ITR) filing, bookkeeping, tax litigation, and corporate audit assistance — are rendered directly and independently by practicing Chartered Accountants who are certified members of the Institute of Chartered Accountants of India (ICAI) holding valid Certificates of Practice.

INFYFIN ADVISORS PRIVATE LIMITED operates the technology marketplace connecting users with independent CAs. The professional client-advocate engagement is formed directly between you and the respective Chartered Accountant.

10AI Subscription Plans, Billing & Cancellation

Subscriptions for optional cloud AI quota (Pro and Ultra tiers) are billed on a 30-day recurring or one-time prepaid basis. Fees paid are non-refundable once the monthly quota cycle has commenced. Canceling a subscription retains active benefits until the end of your billing cycle. Core offline features remain forever free.

11Governing Law, Dispute Resolution & Exclusive Jurisdiction

This Agreement shall be governed by, construed, and enforced in accordance with the laws of the Republic of India. In the event of any dispute, claim, or controversy arising out of or relating to this Agreement, both parties agree to resolve the dispute through mutual negotiation within 30 days.

If unresolved, the dispute shall be submitted to the exclusive jurisdiction of the competent courts located in Ahmedabad, Gujarat, India.
